Terms of Service

By accessing or using Indexed.vc ("the Service"), operated by Indexed ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Service. We reserve the right to refuse service to anyone for any reason at any time.

Indexed provides access to aggregated private company data, funding round information, and investor relationship data through a web-based platform. The Service is available on a freemium basis with paid subscription tiers offering expanded access, higher usage limits, and additional features such as data export.

You must create an account to access certain features. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate, current, and complete information when creating an account and keep it up to date.

You may not share your account credentials or allow others to access the Service through your account. We reserve the right to suspend or terminate accounts that violate these Terms, engage in unauthorized use, or remain inactive for an extended period.

Paid subscriptions are billed on a recurring basis (monthly or annual) through our payment processor, Stripe. By subscribing, you authorize recurring charges to your payment method. Subscriptions auto-renew unless cancelled before the renewal date.

All fees are in USD and non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days' notice to existing subscribers. Price changes take effect at the start of the next billing cycle following the notice period.

If a payment fails, we may suspend access to paid features until the outstanding balance is resolved. You are responsible for any taxes applicable to your subscription.

You agree not to:

• Systematically scrape, crawl, download, or reproduce data from the Service through automated means including bots, scripts, or browser extensions
• Build or contribute to a competing product, database, or service using data obtained from the Service
• Resell, sublicense, or redistribute access to the Service or its data
• Circumvent usage limits, rate limits, or access restrictions through any technical means
• Reverse engineer, decompile, or attempt to extract the source code or underlying algorithms of the Service
• Use the Service to send unsolicited communications, spam, or conduct any unlawful activity
• Impersonate another person or entity, or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure

We may monitor usage patterns to enforce these restrictions. Personal use for research, due diligence, and prospecting within your subscription tier limits is permitted and encouraged.

The Service — including the platform, user interface, design, compiled database, analytics, and all associated intellectual property — is owned by Indexed and protected by applicable copyright, trademark, and other intellectual property laws.

While individual company facts may be sourced from publicly available information, the compilation, organization, enrichment, and presentation of that data constitute our proprietary work. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your active subscription period, subject to these Terms.

This license does not include the right to modify, distribute, or create derivative works from the Service or its data, except as expressly permitted (e.g., CSV exports for personal or internal business use).

Data provided through the Service is aggregated from publicly available sources and may contain inaccuracies, omissions, or outdated information. We make reasonable efforts to maintain data quality but do not guarantee the accuracy, completeness, or timeliness of any data.

The Service does not constitute investment advice, financial advice, or any other form of professional advice. You are solely responsible for independently verifying any information obtained through the Service before making business, investment, or other decisions. Indexed shall not be liable for any actions taken or decisions made based on data provided through the Service.

Data exported from the Service (including CSV downloads) is provided for your personal or internal business use only, within the limits of your subscription tier. You may not:

• Redistribute, publish, or share exported data publicly or with third parties
• Use exported data to build or populate a competing database or service
• Sell or license exported data to any third party
• Aggregate multiple exports to circumvent per-export row limits or other usage restrictions

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

The Service may contain links to third-party websites, services, or resources. These links are provided for convenience only. We do not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party websites or services.

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected.

To the maximum extent permitted by law, Indexed and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, business opportunities, or goodwill — arising from your use of or inability to use the Service.

Our total aggregate liability for any claims arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

You agree to indemnify, defend, and hold harmless Indexed and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit or transmit through the Service.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Before filing any formal claim, you agree to first attempt to resolve the dispute informally by contacting us at hello@indexed.vc. We will attempt to resolve the dispute within thirty (30) days. If we cannot resolve the dispute informally, either party may pursue binding arbitration administered by a recognized arbitration provider under its applicable rules.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration against Indexed.

We may update these Terms from time to time. We will notify users of material changes via email or in-app notification at least fifteen (15) days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.
